General Terms and Conditions of Codi for Users

1.1. These User Terms and Conditions ("Terms") are entered into between Max Kiselyov, sole trader / independent activity (atividade aberta) registered in Portugal, operating the Codi mobile application ("Codi," "App," "we," "us"), and any person who downloads, accesses, or uses the App ("User," "you").

1.2. The Terms govern your access to and use of the App and form a legally binding agreement. If you do not agree to these Terms, you must not use the App.

1.3. No account required. Unlike many apps, Codi does not require you to register, create an account, or provide any personal identifiers (name, email, phone number) to browse business listings and Coupons. References to "User" in these Terms apply to anyone using the App, regardless of whether any optional feature (such as bug reporting) has been used.

2.1. Codi operates a business directory and coupon-discovery platform via its App, allowing Users to discover local businesses ("Businesses") in Portugal and view coupons or offers made available by them ("Coupons").

2.2. Businesses are independent third parties. Codi does not operate or control the Businesses listed in the App. Any transaction, purchase, or agreement relating to a Coupon is concluded directly and exclusively between the User and the Business. Codi does not become a contractual party to that transaction - it merely displays information provided by the Business.

2.3. The App is currently free of charge for Users. There is no subscription, membership fee, or in-app purchase required to use the App or access Coupons.

3.1. Display of Coupons. Coupons shown in the App are provided directly by Businesses and describe an offer, discount, or benefit available at that Business's premises.

3.2. Redemption. To use a Coupon, the User opens it in the App and shows it directly to the Business's staff at the time of ordering or paying, at the Business's premises. Codi does not process any booking, order, or payment.

3.3. No booking or quota system. Unlike some competing platforms, Coupon use in the App does not require advance booking of a time slot, and there is no daily redemption quota system managed by Codi. Availability and specific conditions of a Coupon are determined by the Business and may change at any time.

3.4. Business's discretion to decline a Coupon. A Business may decline to honor a Coupon where the User: (a) attempts to misuse, duplicate, or abuse the Coupon beyond its stated terms; (b) exploits a technical error or vulnerability in the App or Coupon system; or (c) does not meet the specific conditions of the Coupon (e.g., minimum order value, applicable items, time window).

3.5. Codi does not guarantee that any specific Coupon will remain available, valid, or be honored by a Business at all times, and recommends confirming details directly with the Business.

4.1. The User shall use the App in accordance with applicable law and these Terms.

4.2. The User shall not attempt to interfere with, disrupt, or exploit vulnerabilities in the App or its underlying systems, including for the purpose of misusing Coupons.

4.3. Where the User voluntarily provides information (e.g., via the bug report feature described in Section 5), the User is responsible for the accuracy of that information.

5.1. The App offers an optional feature allowing Users to voluntarily submit a bug report via a Google Form, including an email address, a description of the issue, and optional screenshots.

5.2. Submitting a bug report is entirely voluntary and has no effect on the User's ability to use the rest of the App. By submitting a bug report, the User grants Codi the right to use the submitted information solely to investigate and resolve the reported issue.

5.3. Details on how bug report data is collected, used, and retained are set out in our Privacy Policy.

6.1. Codi does not currently offer a ratings or comments feature for Businesses. If such a feature is introduced in the future, Codi will update these Terms accordingly and will comply with applicable content moderation transparency obligations under the EU Digital Services Act, including clear rules on what is permitted, how ratings are moderated, and how Users may appeal a moderation decision.

7.1. "IP Rights" means all intellectual and industrial property rights, whether registered or unregistered, in the App, including copyright, design rights, trademark rights, and all related applications or claims.

7.2. Codi grants the User a non-exclusive, non-transferable, revocable licence to use the App strictly for its intended purpose (browsing business listings and Coupons), for as long as the User has the App installed. Any other use - including copying, modifying, reverse-engineering, or scraping the App or its content - is not permitted.

The App is provided "as is" and "as available." Codi does not guarantee that the App will be uninterrupted, error-free, or that any Business listing or Coupon information displayed will be accurate or available at all times, since this information is provided by third-party Businesses.

9.1. Codi is liable without limitation for damages caused by intent (dolo) or gross negligence (negligência grosseira). For ordinary negligence, Codi's liability is limited to damages that were reasonably foreseeable at the time these Terms were accepted, to the extent such limitation is permitted under applicable Portuguese law (cf. Article 809 of the Portuguese Civil Code).

9.2. Codi is not liable for the content, quality, or fulfilment of any service or product provided by a Business, or for a Business's refusal to honor a Coupon. Businesses are independent third parties and are not agents or representatives of Codi.

9.3. Nothing in this Section limits liability that cannot be excluded under mandatory Portuguese or EU consumer-protection law.

10.1. These Terms apply for as long as the User accesses or uses the App.

10.2. Codi may restrict or suspend a User's access to optional features (such as bug reporting) at any time in the event of misuse or violation of these Terms.

10.3. Codi strives to ensure the App is available without interruption but does not guarantee continuous availability, and may temporarily restrict access for maintenance, updates, or security purposes.

Codi may update these Terms from time to time. Material changes will be reflected by updating the "Effective Date" above and, where appropriate, communicated within the App. Continued use of the App after such changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of Portugal. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the Portuguese courts, without prejudice to any mandatory consumer-protection rights the User may have under the law of their country of residence within the EU.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force. The invalid provision shall be replaced by a valid one that most closely reflects its original intent.
